Lauranka New Zealand Ltd. License Agreement

IMPORTANT - READ CAREFULLY:

DO NOT CONTINUE THE DOWNLOAD OF THE SOFTWARE UNTIL YOU HAVE READ THIS LICENSE AGREEMENT. BY DOWNLOADING OR USING THE SOFTWARE, YOU ACCEPT THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT EXIT NOW.

 

LAURANKA NEW ZEALAND LTD. SOFTWARE LICENSE

1. LICENSE GRANT. This Lauranka New Zealand Ltd product contains software that provides services on a computer (called 'SOFTWARE'). Lauranka New Zealand Ltd grants you the following rights to the SOFTWARE:

(a) Installation: You may install one copy of the SOFTWARE on a single computer.
(b) Use of the SOFTWARE: You may use one copy of the SOFTWARE, which must be dedicated to one unique computer.

2. COPYRIGHT. The SOFTWARE is owned by Lauranka New Zealand Ltd and is protected by New Zealand copyright laws and international treaty provisions. You may not make unauthorised copies or adaptations of the SOFTWARE. You may not copy the written materials covering the SOFTWARE.

3. OTHER RESTRICTIONS. You may not rent or lease the SOFTWARE. You may not transfer the SOFTWARE and accompanying written materials without the prior written permission of Lauranka New Zealand Ltd. You may not reverse engineer, decompile, or disassemble the SOFTWARE. If the SOFTWARE is an update, any transfer must include the update and all prior versions.

4. ANNUAL PRODUCT SUPPORT AGREEMENT (PSA) FEE. Depending on the license granted, this Software requires the payment of an upfront Fee and/or of an Annual PSA (Product Support Agreement) License Fee. This Annual PSA Fee is compulsory and forms part of this Software Licensing Agreement with the SOFTWARE. If you have not already completed a PSA Form covering use of OUR (Lauranka New Zealand Ltd's) Software (either as part of OUR Lauranka Time Clock Software Software/PSA Agreement or OUR Lauranka COMMS Software/PSA Agreement), you will be required to do so prior to being provided your valid license number and activation code. Please contact Lauranka New Zealand Ltd for details of the applicable Fee's for your license.

Understand our Fees

 

LIMITED WARRANTY

​

COMPATIBILITY. The SOFTWARE is only compatible with certain computers and operating systems. THE SOFTWARE IS NOT WARRANTED FOR INCOMPATIBLE SYSTEMS. Call Lauranka New Zealand Ltd or your authorised dealer for information about compatibility.

LIMITED WARRANTY. Lauranka New Zealand Ltd warrants that the SOFTWARE will perform substantially in accordance with the accompanying written material for a period of 12 months from date of receipt (original date of sale of the SOFTWARE).

CUSTOMER REMEDIES. Lauranka New Zealand Ltd’s entire liability and your exclusive remedy shall be, at Lauranka New Zealand Ltd’s option, either (a) return of the price paid minus a 10% restocking fee or (b) repair or replacement of the SOFTWARE that does not meet Lauranka New Zealand Ltd’s Limited Warranty which is returned to Lauranka New Zealand Ltd with a copy of your receipt. This Limited Warranty is void if failure of the SOFTWARE has resulted from accident, abuse, or misapplication. Any replacement SOFTWARE will be warranted for the remainder of the original warranty period.

DISCLAIMER OF WARRANTIES. Lauranka New Zealand Ltd disclaims all other warranties, either expressed or implied, including but not limited to implied warranties of merchantability and fitness for purpose, with respect to the SOFTWARE and accompanying materials. Lauranka New Zealand Ltd does not warrant the SOFTWARE and documentation will satisfy your requirements or that the SOFTWARE and documentation are without defect or error or that the operation of the SOFTWARE will be uninterrupted. This Limited Warranty gives you specific legal rights.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall Lauranka New Zealand Ltd or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary losses) arising out of the use of or inability to use this Lauranka New Zealand Ltd product, even if Lauranka New Zealand Ltd has been advised of the possibility of such damages.

SOFTWARE LICENSE AGREEMENT UPDATES. With the ever evolving change in technology, computers, hosting platforms, legislation and the nature of the SOFTWARE itself. It may be necessary from time to time to update this Software license Agreement to reflect these changes. Any changes made will take precedent and supersede any existing Software License Agreement.
